LETSTRACK TERMS OF USE (EULA)

1. ACCEPTANCE OF TERMS
Welcome to LetsTrack! These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and LetsTrack ("LetsTrack," "we," "us," or "our") governing your access to and use of the LetsTrack mobile application, website, and related services (collectively, the "Services"). By downloading, installing, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. DESCRIPTION OF SERVICES
LetsTrack provides location tracking and family safety services, including but not limited to:
• Real-time location tracking of family members and devices
• Location history and replay features
• Geofencing and place alerts
• Bluetooth tag tracking
• Check-in/check-out notifications
• Emergency alerts and safety features
• Communication features within circles
• Device and asset tracking

The specific features available to you depend on your subscription plan (Free, Silver, Gold, or Platinum).

3. ELIGIBILITY
3.1 Age Requirements
You must be at least 18 years old to create a LetsTrack account. Users between the ages of 13 and 17 may use the Services only with the involvement, supervision, and approval of a parent or legal guardian who agrees to be bound by these Terms.

3.2 Parental Consent
If you are a parent or legal guardian allowing a minor to use the Services, you agree to these Terms on behalf of the minor and you are responsible for the minor's use of the Services.

3.3 Authority
You represent and warrant that you have the legal authority to enter into these Terms and to comply with them.

4. ACCOUNT REGISTRATION AND SECURITY
4.1 Account Creation
To use certain features of the Services, you must create an account. You agree to:
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4.2 Account Security
You are solely responsible for maintaining the confidentiality of your password and account. You agree not to share your account credentials with any third party.

4.3 One Account Per Person
You may only maintain one active account. Creating multiple accounts may result in suspension or termination of all your accounts.

5. SUBSCRIPTION PLANS AND FEATURES

5.1 Available Plans
LetsTrack offers four subscription tiers:
• Free Plan (£0.00): Basic tracking features with limitations
• Silver Plan (£0.99/month or £9.99/year): Enhanced features including unlimited tags
• Gold Plan (£5.99/month or £59.99/year): Advanced features including history replay and extended tracking
• Platinum Plan (£7.99/month or £79.99/year): Premium features with unlimited circles and places

5.2 Feature Availability
Features available to you depend on your subscription plan. We reserve the right to modify, add, or remove features at any time with reasonable notice to subscribers.

5.3 Circle Limitations
• Free and Silver plans: Limited to 2 members per circle
• Gold plan: Up to 5 members per circle
• Platinum plan: Unlimited members per circle

Only one Circle member needs to purchase and apply a subscription to a Circle for all members to benefit from the subscription features.

6. ACCEPTABLE USE POLICY

6.1 Permitted Uses
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may use the Services to:
• Track locations of family members who have consented
• Monitor the location of your own devices and assets
• Receive safety and location alerts
• Communicate with members of your circles

6.2 Prohibited Uses
You agree NOT to:
• Use the Services to stalk, harass, or harm any person
• Track any person without their knowledge and consent
• Use the Services for any illegal or unauthorized purpose
• Violate any applicable local, state, national, or international law
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to the Services or related systems
• Interfere with or disrupt the Services or servers
• Use automated systems (bots, scrapers) to access the Services
• Impersonate any person or entity
• Collect or harvest information about other users
• Use the Services for commercial purposes without our permission
• Remove, circumvent, or disable any security or technological features
• Reverse engineer, decompile, or disassemble the Services

6.3 Consent and Legal Compliance
You represent and warrant that:
• You have obtained all necessary consents from individuals you are tracking
• You are complying with all applicable privacy and data protection laws
• You will not use the Services to violate anyone's privacy rights
• You are the legal owner or have authorization to track any devices or assets

6.4 Location Tracking Consent
IMPORTANT: Tracking another person's location without their knowledge and explicit consent may be illegal in your jurisdiction. You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations.

7. USER CONTENT AND CONDUCT

7.1 User Content
You retain ownership of any content you submit, post, or display through the Services ("User Content"). By submitting User Content, you grant LetsTrack a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content to provide the Services.

7.2 Content Standards
You agree that your User Content will not:
• Contain any material that is defamatory, obscene, offensive, hateful, or inflammatory
• Promote violence or discrimination
• Infringe any intellectual property rights
• Violate any privacy or data protection rights
• Contain any advertising or promotional material
• Be likely to deceive any person
• Breach any legal duty owed to a third party

7.3 Monitoring
We reserve the right, but have no obligation, to monitor User Content. We may remove any User Content that violates these Terms or is otherwise objectionable.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 LetsTrack's Rights
The Services, including all content, features, functionality, software, text, graphics, logos, and trademarks, are owned by LetsTrack and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

8.3 Restrictions
You may not:
• Copy, modify, or create derivative works of the Services
• Distribute, sell, rent, lease, or sublicense the Services
• Remove or alter any proprietary notices
• Use the Services for any commercial purpose without our written permission

8.4 Feedback
If you provide us with any feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation to you.

9. PRIVACY AND DATA PROTECTION

9.1 Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9.2 Location Data
By using the Services, you consent to our collection, use, and sharing of your location data as described in our Privacy Policy.

9.3 Data Protection Compliance
We comply with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and other relevant privacy legislation.

9.4 Your Data Rights
You have the right to:

• Request deletion of your data

• Data portability

10. PAYMENT TERMS

10.1 Subscription Fees
Subscription fees are charged in advance for each billing period (monthly or annually). All fees are in British Pounds (GBP) unless otherwise stated.

10.2 Payment Authorization
By providing payment information, you authorize us (or our third-party payment processor) to charge the subscription fee to your designated payment method.

10.3 Auto-Renewal
Your subscription will automatically renew unless you cancel before the renewal date. You will be charged the then-current subscription fee for each renewal period.

10.4 Price Changes
We may change subscription prices with at least 30 days' advance notice. Price changes will take effect at your next renewal date.

10.5 Taxes
You are responsible for any applicable taxes, including VAT, sales tax, or other taxes related to your subscription.

10.6 Payment Methods
We accept major credit cards, debit cards, and in-app payments through Apple App Store and Google Play Store.

10.7 Failed Payments
If a payment fails, you will have a 7-day grace period to update your payment information. If payment is not received within this period, your subscription may be terminated.

11. FREE TRIALS

11.1 Trial Eligibility
We may offer free trial periods for new subscribers. You are limited to one free trial per person (based on payment method) within any 12-month period.

11.2 Trial Terms
• Certain features may not be available during the trial period
• If you do not cancel before the trial ends, you will be automatically charged
• We may validate your payment information during the trial period
• We reserve the right to revoke trials for invalid payment methods

11.3 Trial Cancellation
You may cancel your trial at any time during the trial period to avoid charges.

12. CANCELLATION AND REFUNDS

12.1 Cancellation Policy
You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. You will retain access to subscription features until the end of the paid period.

12.2 No Refunds
Except as required by law or during the cooling-off period, all subscription fees are non-refundable. No refunds will be provided for:
• Unused time on subscriptions
• Partial months or years
• Cancellations mid-billing period
• Any content or data associated with your account

12.3 EU/EEA/UK Cooling-Off Period
If you are a consumer based in the European Union, European Economic Area, or United Kingdom, you have the right to cancel your subscription within 14 days of purchase for a full refund.

12.4 How to Cancel
To cancel your subscription:
• In the App: Settings > Account > Cancel Subscription
• Apple App Store: Settings > [Your Name] > Subscriptions > LetsTrack > Cancel Subscription
• Google Play: Play Store > Profile > Payments & Subscriptions > Subscriptions > LetsTrack > Cancel
• Website: Log in to LetsTrack.com > Manage Subscription > Cancel

13. ACCOUNT TERMINATION

13.1 Termination by You
You may delete your account at any time by following the instructions in the app or on our website. Note: Deleting your account does not cancel your subscription. You must cancel your subscription separately.

13.2 Termination by Us
We reserve the right to suspend or terminate your account at any time, with or without notice, if:
• You violate these Terms
• You engage in fraudulent or illegal activity
• Your use of the Services poses a security risk
• You fail to pay subscription fees
• We are required to do so by law

13.3 Effect of Termination
Upon termination:
• Your right to use the Services will immediately cease
• Your data may be deleted in accordance with our Privacy Policy
• You will not be entitled to any refund of prepaid fees
• Provisions of these Terms that by their nature should survive will remain in effect

14. DISCLAIMERS AND LIMITATIONS OF LIABILITY

14.1 Service Availability
We strive to provide reliable Services, but we do not guarantee that the Services will be:
• Available at all times or without interruption
• Free from errors, bugs, or security vulnerabilities
• Compatible with all devices or operating systems
• Accurate, complete, or up to date

14.2 Location Accuracy
IMPORTANT: Location data provided by the Services is for informational purposes only and should not be relied upon for critical decisions. Location accuracy depends on various factors including GPS signal strength, device settings, network connectivity, and environmental conditions.

14.3 Not for Emergency Use
THE SERVICES ARE NOT A SUBSTITUTE FOR EMERGENCY SERVICES. In case of emergency, always contact your local emergency services (999 in the UK, 911 in the US, or your local emergency number).

14.4 "AS IS" Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LETSTRACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM OR RELATED TO:
• Your use of or inability to use the Services
• Any unauthorized access to or use of your data
• Any interruption or cessation of the Services
• Any errors or omissions in the Services
• Any loss or damage resulting from reliance on location data
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

14.6 Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless LetsTrack, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:
• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your violation of any applicable laws or regulations
• Any content you submit or transmit through the Services
• Your tracking of any person without proper consent

16. THIRD-PARTY SERVICES AND LINKS

16.1 Third-Party Services
The Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for and do not endorse any third-party services.

16.2 App Store Terms
If you download our app through the Apple App Store or Google Play Store, you also agree to the applicable store's terms of service.

16.3 Third-Party Beneficiaries (Apple)
If you downloaded the app from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.

17. DISPUTE RESOLUTION

17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

17.2 Jurisdiction
Subject to the arbitration provision below, you agree that any legal action or proceeding shall be brought exclusively in the courts located in England and Wales, and you consent to the jurisdiction of such courts.

17.3 Informal Resolution
Before filing a legal claim, you agree to first contact us at [support email] to attempt to resolve the dispute informally.

17.4 Consumer Rights
If you are a consumer in the EU/EEA/UK, nothing in these Terms affects your statutory rights under local consumer protection laws.

18. MODIFICATIONS TO TERMS

18.1 Right to Modify
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
• Posting the updated Terms on our website
• Sending you an email notification
• Displaying a notice in the app

18.2 Acceptance of Changes
Your continued use of the Services after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services and cancel your subscription.

18.3 Material Changes
For material changes that affect your rights, we will provide at least 30 days' notice before the changes take effect.

19. GENERAL PROVISIONS

19.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LetsTrack regarding the Services.

19.2 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

19.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

19.5 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and LetsTrack.

19.6 Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

19.7 Notices
Notices to you may be made via email, regular mail, or postings on the Services. You may send notices to us at the contact information provided below.

19.8 Export Control
You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to embargo or designated as a "terrorist supporting" country, and that you are not on any list of prohibited or restricted parties.
